User Agreement

This Agreement sets out the terms and conditions of your use of the Admedia Solutions Ltd website located under the domain and sub-domains at www.myadbase.com ("the Site") and the use of products, information and services in the Site.

By using this site you are agreeing to abide by the terms and conditions set out herein. If you object to any terms stated then you should not use any of the products, information or services contained within this site and you should leave the Site immediately.

You must read, agree with and accept all of the terms and conditions contained in this User Agreement, which includes those terms and conditions expressly set out below and those incorporated by reference, before you may become a user of the Site.

The User Agreement is subject to change at any time. We encourage you to review the User Agreement regularly for any changes.

1. Membership Eligibility:

Our services are not available to, and may not be used by, temporarily or indefinitely suspended Myadbase members. If you are registering as a business entity, you must have the authority to bind that entity to this User Agreement. If you do not qualify, please do not use our services.

2. Myadbase is only providing Internet auction services

We only provide services to people interested in selling and buying merchandise via an Internet auction. We do not have control over the items that are posted in the auction site, and cannot guarantee the authenticity and quality of a said product. We are not responsible for the actions the sellers takes, before, during and after the auction, typographical errors, misprints, loss of merchandise/money, damage or failure of equipment, due to your visit to this auction site. Use of this site is at your own risk and content is presented 'As-Is'.

3. Accounts, Passwords and Security

Certain features or services offered on or through the Site may require you to register. You must choose a Myadbase ID (also referred to as a User ID) and password as part of the registration process. You are entirely responsible for maintaining the confidentiality of your User ID and password, and for any and all activity that occurs under your account. You agree to notify Admedia Solutions Ltd immediately of any unauthorized use of your User ID or password, or any other breach of security. However, you may be held liable for losses incurred by Admedia Solutions Ltd or any other user of or visitor to the Site due to someone else using your User ID, password or account.

You may not use anyone elses Myadbase ID, password or account at any time. Admedia Solutions Ltd cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

4a. Bidding and Selling

As a user, you may bid and/or sell merchandise using Auction.

4b. As a bidder

You know that placing a bid is a binding contract between you and the seller, and the bid cannot be retracted unless due to mistake by the seller, of typographical error, or other error, due to human error on the seller's part. Once you place a bid, and if you win, you will be obligated to buy the product at the said price you indicated as your bid. Placing a bid on this auction site, winning, then not paying for the product is illegal in most states, resulting in possible prosecution.

4c. As a seller

The item that you place up for bids must be real. Pre-sales are not accepted. Once a bid has been placed for your item, you are entering into a binding contract with the potential buyer of the product, if that bid shall be the highest bid. Once the auction is over, if over reserve price, you are obligated to sell to the potential buyer which is the highest bidder in your auction. If, reserve price was not met, you are not obligated in any way to sell this item at all. As a seller, you are not legally permitted to bid on your own items. This is known as sham bidding. If reported, your auction will be deleted, and you will still be responsible for any fees to us that you initially agreed to pay to use our services.

5. Posting Items

As a member, you are welcome to post items for sale using Auction auction services. We do have restrictions on what items you may sell and what you may not sell. You may not sell illegal merchandise, including pirated software and music, firearms, or anything that is affiliated with violence, etc. Items that are up to bids are subject to review by the staff of Auction , and may be removed without prior notice, if found in violation with the User Agreement.

6. Third party websites, products and services

The Site may contain hyperlinks to websites operated by other parties. We do not control such websites and we take no responsibility for, and will not incur any liability in respect of, their content. Our inclusion of hyperlinks to such websites does not imply any endorsement of views, statements or information contained in such websites.

7. Promoting your business on the Site

You agree not to post or transfer to the Site (nor include in any message) any material which is obscene, misleading, inaccurate, defamatory, illegal, in breach of any copyright or other intellectual property right, or damaging to data, software or the performance of our or any other person's computer system. You agree to indemnify us in respect of any liabilities, losses, expenses, or other costs whatsoever incurred as a result of a breach of your obligation under this Condition 4, including, but not limited to, any claims made against us by any third party.

8. Fees

Other than the Custom Services provided by The Site, all services are free or charge, but without oblication or legal recourse. In Spring 2005, however, we plan to introduce Store Fronts for advertising media companies to sell advertising space to advertisers, in various pricing formats. 9. Warranty

Admedia Solutions Ltd provides this website on an 'as-is' condition, that is without a warranty or condition. Auction is not liable for any damages resulting in an auction, or your visit to the site.

10. Entire Agreement

This Agreement constitutes the entire agreement between us concerning its subject matter.

11. General

Your statutory rights are not affected.

12. Jurisdiction and governing law

These conditions shall be governed by and construed in accordance with the laws of England. Admedia Solutions Ltd controls Myadbase.com from within the country of England. It can, however, be accessed from other places around the world. Although these places may have different laws from those of England, by accessing Myadbase.com you agree that the laws of England, without regard to rules relating to conflict of laws, will apply to all matters relating to your use of Myadbase.com. You and Admedia Solutions Ltd also agree to submit to the non-exclusive jurisdiction of the English courts, with respect to such matters. Users of Myadbase.com accessing it from places outside of England acknowledge that they do so voluntarily and are responsible for complying with local laws.
